Introduction
Welcome to Bit-Er Developers. These Terms and Conditions ("Terms") govern your use of our website and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.
Services
Bit-Er Developers provides software development services including, but not limited to:
- Website development
- Mobile app development (Flutter)
- Custom software development
- AI integrations and automation
- SEO and content systems
- UI/UX design
- Maintenance and support services
Project Agreements
Scope of Work
All projects will be defined in a separate project agreement or statement of work that outlines deliverables, timelines, and pricing. The project agreement will take precedence over these general Terms for project-specific matters.
Changes and Revisions
Changes to the agreed scope of work may result in additional charges and timeline adjustments. All scope changes must be documented and approved in writing by both parties.
Timeline
Project timelines are estimates and may vary based on project complexity, client feedback response times, and unforeseen technical challenges. We commit to transparent communication about any timeline changes.
Payment Terms
Unless otherwise specified in the project agreement:
- Payment schedules will be defined in the project agreement
- Invoices are due within 15 days of issuance unless otherwise specified
- Late payments may incur interest charges or project suspension
- Final deliverables may be withheld until full payment is received
- All prices are in USD or NPR as specified in the agreement
Intellectual Property
Client Ownership
Upon full payment, the client owns the custom code and deliverables created specifically for their project, unless otherwise specified in the project agreement.
Third-Party Components
Projects may include open-source libraries, frameworks, and third-party tools. These components remain under their respective licenses. We will clearly document all third-party dependencies.
Portfolio Usage
We reserve the right to showcase completed projects in our portfolio unless specifically prohibited by a non-disclosure agreement.
Client Responsibilities
Clients are responsible for:
- Providing accurate project requirements and specifications
- Timely feedback and approvals as per project timeline
- Providing necessary access to systems, accounts, or resources
- Content, images, and materials (unless content creation is part of the project)
- Compliance with applicable laws and regulations
Warranties and Disclaimers
We warrant that services will be performed with reasonable skill and care. However:
- We do not guarantee specific business results or outcomes
- Software is provided "as is" after final delivery
- We are not responsible for third-party service failures
- Bug fixes during the warranty period (typically 30-90 days) are included
- Post-warranty support and maintenance require a separate agreement
Limitation of Liability
To the maximum extent permitted by law, Bit-Er Developers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability shall not exceed the total amount paid for the specific project in question.
Confidentiality
We will maintain the confidentiality of your proprietary information. Specific confidentiality requirements can be formalized through a Non-Disclosure Agreement (NDA) upon request.
Termination
Either party may terminate a project agreement with written notice. In case of termination:
- Client must pay for all work completed up to the termination date
- All project materials will be delivered in their current state
- Any prepaid amounts for incomplete work may be refunded at our discretion
- Confidential information remains protected after termination
Dispute Resolution
In the event of any dispute arising from these Terms or our services, both parties agree to first attempt resolution through good-faith negotiation. If unsuccessful, disputes shall be resolved through arbitration in Kathmandu, Nepal, under Nepalese law.
Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the modified Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Nepal, without regard to its conflict of law provisions.
